Terms and Conditions of Use

These Terms and Conditions of Use (“Terms of Use”) govern your use of the psyclehealth.com website, its subdomains, landing pages, social media platforms, media content, and CRM platform, along with the services (“Services”) provided on, through, or in relation to these channels. By accessing and using these Services, you agree to be bound by these Terms of Use, which form a legally binding agreement between you and Psycle Health, Inc. (“Psycle Health” or the “Agency”). The terms “you” and “your” refer to you, your dependents, and any other person accessing your account.

Important Notice:

Psycle Health is not a medical provider. Medical appointments obtained through our platforms are facilitated by independent medical practitioners. Psycle Health’s role is to connect users with a network of independent mental health providers (“Mental Health Providers”) in the United States. For specific terms applicable to these providers, please refer to the section titled “Supplemental Terms Applicable to Mental Health Providers.”

Arbitration and Class Action Waiver:

This agreement contains a mandatory arbitration provision and a class action waiver, which require you to resolve disputes with Psycle Health on an individual basis through final and binding arbitration. By accepting these Terms of Use, you acknowledge that you have read and understood these terms and considered their implications.

1. Services Provided – No Medical Care or Advice by Psycle Health

Psycle Health partners with independent Mental Health Providers who deliver clinical services through their own electronic medical record (“EMR”) platforms. Psycle Health itself is a separate entity from these providers and does not deliver medical care. The independent providers are solely responsible for the quality and appropriateness of the care they provide. Psycle Health does not offer legal advice regarding any issues associated with the services offered by these providers.

2. Relationship Between Psycle Health and Mental Health Providers

Mental Health Providers are independent contractors who use Psycle Health’s platform to connect with potential patients. Psycle Health does not own, control, or have any ownership interest in these providers or their clinics. All medical advice and information come directly from the providers, not from Psycle Health. The relationship you establish with a Mental Health Provider through our Services does not replace your existing relationships with your healthcare practitioners.

3. Emergency Situations

Psycle Health’s services are not intended for medical emergencies. If you have a medical emergency, please call 911 immediately. Do not use Psycle Health’s Services to address urgent or emergency medical conditions.

4. Telehealth Services

Telehealth services offered through Psycle Health allow for healthcare delivery via electronic communication. While telehealth can be convenient, it is not always a substitute for in-person care. You assume all risks associated with telehealth services.

5. Availability of Services

Psycle Health operates in compliance with state and federal regulations, and Services may not be available in all states. By using the Services, you confirm that you are not prohibited by U.S. laws or the laws of any relevant jurisdiction from enrolling in or receiving the Services.

6. Changes to Terms of Use

Psycle Health may modify these Terms of Use at any time. Any changes will be posted on the Website, Social Media, or CRM, and will be effective upon posting. Continued use of the Services after such changes constitutes acceptance of the new Terms of Use.

7. Electronic Communications

By using Psycle Health’s Services, you consent to receive electronic communications from us. This includes emails, messages, and other communications sent via your desktop or mobile device.

8. User Eligibility

The Services are only available to users who are 18 years of age or older. By accessing the Services, you represent that you meet this age requirement. If we learn that we have collected personal information from someone under 18, we will delete that information promptly.

9. Accuracy of Information

While Psycle Health strives to provide accurate information, we do not guarantee the accuracy, completeness, or timeliness of any information on our platforms. In the event of inaccuracies, please inform us so we can correct them.

10. Compliance with Law

You agree to comply with all applicable laws when using the Services. This includes laws related to privacy, intellectual property, and data security.

11. Device Functionality

You are responsible for maintaining your device, software, operating system, and network access necessary to use the Services. Psycle Health is not responsible for any issues arising from the use of modified or non-compliant devices.

12. Third-Party Liability

Psycle Health is not responsible for the actions of third parties, including your wireless carrier, device manufacturer, or any third-party services used in conjunction with our platforms.

13. Intellectual Property

Psycle Health retains all rights, title, and interest in and to the Services and any related intellectual property. Unauthorized use of our trademarks, service marks, or logos is prohibited.

14. License to Use

Psycle Health grants you a limited, non-exclusive license to access and use our publicly available pages and content, subject to these Terms of Use. Unauthorized use of the Services is prohibited and may result in termination of your license.

15. User Materials

You agree not to provide any User Materials that are false, defamatory, or infringe on the rights of others. Psycle Health may use de-identified information for research or analytics purposes.

16. Disclaimer of Warranties

Psycle Health provides the Services “as is” and “as available,” without any warranties of any kind. We do not guarantee that the Services will be error-free or uninterrupted.

17. Limitation of Liability

Psycle Health is not liable for any indirect, incidental, or consequential damages arising from your use of the Services. Our maximum liability to you is limited to $300.

18. Indemnification

You agree to indemnify and hold Psycle Health harmless from any claims arising out of your use of the Services or any breach of these Terms of Use.

19. Arbitration Agreement

You and Psycle Health agree to resolve any disputes through binding arbitration, rather than in court. This includes waiving the right to participate in class actions. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

20. Patient Responsibility

You are financially responsible for all charges incurred for services rendered by Psycle Health and its affiliated providers. Insurance confirmation does not guarantee payment, and you are responsible for any unpaid balances.
